1. General Terms of Service
This Terms of Service (TOS) document is an agreement between SoundSense Tech Solutions (also here referred to as “SoundSense”, “we”, and “us”), a proprietary business headquartered in India, and you (also here referred to as “customer” or “client”).
This agreement outlines the general terms and conditions governing our relationship with you and your use of products, software, resources, and services (collectively known as “Services”) made available by us. Your signing up / registering or use of our Services constitutes your acceptance of these terms of service. If you do not consent to these terms, you are not permitted to access or use our Services.
You are required to agree to all terms and conditions before registering or signing up for our Services. SoundSense reserves the right to suspend or cancel a customer’s access to any or all of our Services at any time, or when SoundSense decides that the account has been used inappropriately.
This Terms of Service document, published in English on the soundsense.net website, is the sole authentic version. The only purpose of any translated version of this document is to make it easier to read and understand the English version. These translations may not be accurate and don’t substitute the English version. In cases of dispute or conflict, the legal agreements and policies in this original English document hold precedence.
2. Area and scope of services
- We are a software service provider that sets up semi-managed websites and portals for small businesses. We offer service plans with features targeted at individuals and small businesses.
- We are not a domain registrar, or a web or email hosting service. For customer websites, we use service providers such as authorised domain registrars and commercially available web, cloud, and email services.
- We do not claim to be knowledgeable or experts in running any particular business. Our Services are restricted to software and related technical services and do not include management consultancy services for the operation of any business.
- Any advice or tips that we provide regarding business operations are purely suggestions intended for information purposes. Such advice should not be taken as professional management advice or as a replacement for professional management advice. You must exercise the necessary due diligence before relying on any written or oral advice given by us relating to running your business. SoundSense does not take responsibility for any loss or consequences as a result of following our advice.
- We don’t claim to have any knowledge or expertise regarding the regulatory requirements for setting up or operating any website or business. As our customer, it is your sole responsibility to ensure that you meet all applicable legal and regulatory requirements for operating your website, mobile app, portal, or any other platform that uses our Services.
3. General rules of conduct
As a user of SoundSense’s services, you agree and acknowledge that:
- Your use of SoundSense’s website and services, including any content that you contribute, will comply with this TOS agreement, any other Service Agreement or policy that might be applicable to your services, along with all the applicable local, state, national, and international laws and rules.
- You are not allowed to collect or allow anyone to collect any user content or any personal or non-public information about any other user without their prior written consent.
- You will not use the SoundSense websites or Services in a way that:
- Is illegal or promotes illegal activity.
- Encourages or engages in child exploitation or any other activity related to Child Sexual Abuse Material (CASM)
- Encourages or engages in violence against children, animals, property, or terrorism.
- Encourages or engages in any spam activity, unsolicited bulk email sending, computer or network breaching, or hacking.
- Encourages or facilitates any immoral activity such as pornography, prostitution, or human trafficking.
- Violates the intellectual property rights of another user or entity.
- Breaches the privacy or publicity rights of another user or entity, or violates any confidentiality obligations you have towards them.
- Disrupts the functioning of the SoundSense website or its services.
- Introduces viruses, worms, bugs, Trojan horses, or any other harmful code or programs designed to disrupt, damage, or limit the functionality of software or hardware.
- Includes false or misleading information, or claims about SoundSense or its services that cannot be proven or compared accurately.
- Makes available illegal materials – This includes copyrighted works, commercial audio, video, or music files, and any material in violation of any regulation or material that is perceived to be misleading.
- Facilitates distribution of warez – This includes, but is not limited to, pirated software, ROMS, emulators, phreaking, hacking, password cracking, IP spoofing, and encryption of any of the above. It also includes any sites that provide “links to” or “how to” information about such material.
- Involves illegal activities like topsites, ponzi or pyramid schemes, investment scams, prime bank programs, spam bots, gambling, mail bombers, port scanners, IP scanners, mail harvesting scripts, brute force scripts, and phishing.
- Facilitates manufacture or distribution of illegal pharmaceuticals, drugs, explosives, anonymous or bulk SMS gateways, malware, warez, phishing materials, lottery, gambling, illegal downloads, pirated software distributions, escrow, high-yield investment programs, adult thumbnail galleries/banner exchanges, streaming or broadcasting of live copyrighted events.
- SoundSense reserves the right to deem any other content or literature as “prohibited” if found to be indecent, rude, hate content, or generally unacceptable.
- You must refrain from engaging in any deceitful or harmful behavior. You must also avoid actions that could unreasonably strain or burden the infrastructure of our hosting providers, as determined by them or us.
- You are not permitted to reproduce or distribute any portion of this website in any form without explicit permission from SoundSense.
- You are prohibited from making any changes to this website or the services it offers, including any related technologies.
- You must only access SoundSense Content or user content through this site or as directed by SoundSense.
- You are not allowed to resell or offer the Services for commercial use, including any of SoundSense’s associated technologies, without SoundSense’s written consent.
- You must not bypass, deactivate, or disrupt the security features of this website or its services (including features that prevent or limit the use or copying of SoundSense Content or User Content), or enforce any restrictions on the use of this website or its services, the SoundSense Content, or the User Content contained therein.
- You must not host, display, upload, modify, publish, transmit, store, update, or share any information that violates any rules or guidelines of SoundSense. If you fail to comply with SoundSense’s rules, regulations, privacy policies, or user agreements regarding the use of any computer resource, SoundSense reserves the right to immediately terminate access or usage rights to the computer resource, or remove non-compliant information, or both, as deemed appropriate.
- You consent to furnish government-issued photo identification and/or government-issued business identification for identity verification upon request.
- You must acknowledge that SoundSense may occasionally call you regarding your account and the use of our Services. For such calls, you understand that your conversations may be recorded, and you hereby give your consent for this recording, subject to applicable laws, restrictions, and obligations. This includes the possibility of recording calls without explicit consent on each occasion. You also agree that such recordings may be used as evidence in legal proceedings involving SoundSense.
- You agree to provide a working and reachable phone number and an email address for SoundSense to contact you. You agree to receive service-related calls and text messages from SoundSense on these numbers and email addresses. You permit and agree to receive occasional marketing-related text and WhatsApp messages on these numbers and email addresses.
- In addition to the rights outlined elsewhere in this Agreement, SoundSense explicitly retains the right to refuse, cancel, terminate, suspend, or restrict future access to this Site or any of our Services (including, but not limited to, the right to cancel or transfer any domain name registration) for any User:
- Whose Account or Services were previously terminated or suspended, whether due to violation of this or any other Agreement or any SoundSense policy.
- Who has engaged in inappropriate or unlawful activity while using the Site or Services (as determined solely by SoundSense).
- If any purchases or account actions appear fraudulent, abusive, or suspicious, SoundSense has the right to cancel associated services and close relevant SoundSense accounts linked to your name, email address, or account. If SoundSense, at its discretion, deems any activity fraudulent, it reserves the right to pursue legal action, and you may be responsible for reimbursing SoundSense for any losses, including legal expenses and damages. To dispute service cancellations, account freezes, or closures, please contact our customer care.
- You certify that by purchasing any of our products or services from this website, you are 18 years or older.
- In compliance with the DMCA Act, SoundSense has adopted procedures for parties who believe that a hosted site on our service is infringing their copyrights. All copyright complaints must be submitted to abuse-resolution@soundsense.net.
4. Abuse or unfair use
- Any attempts to compromise or actual compromise of a network device belonging to SoundSense or any other company, individual, or other entity are strictly prohibited. This offense also includes port scanning, IP range scanners, and vulnerability scanning. All infractions and suspected infractions will be vigorously investigated and may result in immediate termination of service.
- Distributed Denial of Service (DDoS) attacks directed at SoundSense, or any attempts to launch a Distributed Denial of Service attack from the servers of our hosting providers, are strictly prohibited. All infractions and or suspected infractions will be vigorously investigated and may result in immediate termination of service.
- The hosting of material that infringes on any copyright, trademark, or service mark is strictly prohibited. This also includes the storage and transmission of pirated movies, music, software, ringtones, or any type of “Warez”. Any authentic complaint received will be investigated and may result in termination of service.
- The hosting of defamatory, scandalous, or private information about a person without their consent, intentionally inflicting emotional distress, or violating trademarks, copyrights, or other intellectual property rights.
- Any attempts to undermine or cause harm to any servers or infrastructure of our hosting providers are strictly prohibited. We hold no responsibility for the use of our clients’ accounts. Any abuse of resources or services made available by SoundSense or its service providers can result in immediate deactivation of our Services without refund.
- Our fair usage policy applies to all plans that include the hosting of websites. This is to ensure that no website adversely affects the performance of other websites on the server or on the same cloud account. If your website uses over 10% of the available resources on the server or our cloud account, it will be considered usage beyond our fair usage policy. If this occurs, we will contact you to immediately move your website to a suitable higher plan or service arrangement. If you refuse to do so, we may suspend or restrict your website, cancel your subscription, and, if applicable, process a refund according to our Cancellation and Refund Policy.
- As part of our Services, we may sign you up for free services of email service providers. Such services come with limits, and if you exceed these limits, you may encounter problems with email sending. In such cases, you must upgrade to a suitable paid email plan. We will provide the necessary guidance, but the solution may involve additional costs.
- We reserve the right to terminate the accounts and services of customers without refund if a customer or customer’s staff uses abusive language or is in any way rude or abusive towards us or any member of our staff.
5. Unsolicited commercial or bulk email (SPAM)
- Your mailboxes are not hosted on the servers of our web hosting providers. We sign you up with specialized email service providers for your regular email, transactional email, and promotional emails. You must ensure that emails are sent through the services meant for the type of email being sent. You must also adhere to the terms of service of the relevant service providers.
- Use of our Services to transmit any unsolicited commercial or unsolicited bulk e-mail is expressly prohibited.
- Upon notification of an alleged violation, our service providers may initiate a full-scale investigation during which they may restrict your access to email services to prevent further violations.
- If a customer is found to have violated the email sending policy, we may, at our sole discretion or at the email service provider’s request, restrict, temporarily suspend, or permanently block the account involved from using email services.
- You will be liable to us for any charges, fees, or penalties imposed on us by our service providers due to your account being involved in any type of spamming activity or misuse of email facilities. In addition to this, you will also be liable to us for any losses, legal costs, etc., incurred by us as a result of such violations or related investigations. our service providers, or we will notify law enforcement officials if the violation is believed to be a criminal offense.
- You may use the email services to send commercial messages to a mailing list only if the recipients have signed up for such messages.
- Performance, inbox delivery of email, etc., will be according to the terms of the concerned email service provider.
6. Unacceptable resource usage
- The storage space on the hosting server is only for hosting your website and related applications.
- This space should not be used for storing unwanted files that are not in use for your websites and applications.
7. Services through third-party service providers
- We may use or bundle third-party services, hardware, software, and equipment as a part of our Services. In addition to this TOS, the use of these components will be subject to the terms of service of the original product or service providers.
- Third-party service providers may change their offerings and services, which may affect the Services provided to you. If this causes any degradation in our Services, we will take steps to correct the issue. This correction could involve a reasonable delay, especially if it involves replacing the service provider that caused the degradation. Any extension to your plan to compensate for the downtime (if any) will be at our discretion.
- Any failure, malfunction, or degradation of services provided by third-party services bundled with our Services shall not be considered a violation of our obligations under this agreement.
- Any third-party product or service provided by us will only be used by you as a part of our Services as permitted under this agreement.
8. Account and security
- You’ll need a user account to access our services. An account username and password will be assigned to you upon registration, but we reserve the right to modify them. Any changes will be communicated to you through the SoundSense official email ID. By setting up and using your Account, you confirm that all provided information is truthful, accurate, and complete. We will provide the login credentials for your website’s control panel and mailboxes.
- You’re responsible for all activities on your SoundSense account and accounts of the bundled third-party services, whether authorised by you or not. Hence, it’s crucial to keep your login details secure and change the passwords at first use. You must alert us immediately if you suspect any unauthorised account use or security breaches.
- If you have authorized members of your staff to use your account and shared your account password or login credentials for any of our Services, it is your responsibility to ensure that the concerned passwords are changed if the person leaves your employment or is no longer authorized to use those credentials on your behalf. You must inform us immediately if you lose access to your account or any of our Services.
9. Domain registration, renewal, and infringement
- Registration or transfer of a free domain may be included in some of our plans. This policy applies to selected domain extensions and is subject to change. We reserve the right to approve or decline free registrations or transfers at our discretion. An extension other than the free extension offered with your plan can be registered as part of our Services, but may involve additional charges at the time of initial registration and at each renewal.
- We cannot guarantee the availability of a specific domain name requested for registration or transfer by you. The domain will always be registered in or transferred into your name. You agree to make SoundSense the technical contact for all domains managed by us. You also agree to allow SoundSense to manage your Domain, including its WHOIS data. You must ensure that all information you give us is accurate. You must inform us immediately if any part of the WHOIS data changes. If your contact data is not kept up to date and cannot be verified, your domain may be taken offline.
- We reserve the right to select your domain registrar. We also reserve the right to change the registrar at our discretion without prior notice. Accordingly, you authorize us to approve a change of registrant or any alteration to the registrant’s details on your behalf.
- If you are on a service plan that includes a free domain, we will renew the domain when you renew your subscription. We normally send a renewal reminder ten days before subscription expiry. If you fail to renew your plan before it expires, we will not renew your domain. You can request a domain transfer in accordance with our exit policy, and we will facilitate such a transfer as long as the domain is eligible for transfer. If your domain expires due to a break in your SoundSense subscription, renewal or transfer may still be possible, but may involve additional costs. There is no guarantee that an expired domain will be available for renewal, transfer, or fresh registration.
- You must not ask us to register or transfer a domain name that is similar to a trademarked domain/a domain similar to a brand and is engaged in a business providing similar goods or services. Such registrations may invite actions or liabilities due to trademark infringement. The domain belongs to you, and you agree to take full responsibility for ensuring that the domain name does not infringe on any third-party trademarks or rights. As the owner of the domain, you confirm that you will take full liability for any legal action, penalty, costs, or losses due to infringement of any third-party rights.
10. Backup and restoration policy
- If backups are included with your subscription plan, we arrange automated daily and weekly backups of the website files and database through our hosting service providers. Generally, daily backups are retained for seven days, and weekly backups are retained for four weeks. Generally, backups are stored on storage that is independent of the server hosting the website.
- If, for any reason, your website data is lost, compromised, corrupted, or damaged, or the need to restore the site to an earlier point arises, SoundSense will restore your website using the last available good backup. Data on your website after the last good backup could be irrecoverably lost.
- Backups of email boxes that are provided through email service providers are not provided by us. These are backed up by the respective service providers according to their terms of service.
11. Service uptime
- As we don’t own or manage the domain, email, or hosting infrastructure, we don’t have direct control over the uptime of any of these services. Any uptime levels indicated by us are commitments given by our service providers. Downtime (outages) can occur due to unexpected technical issues or planned maintenance/upgrade activities by our service providers.
- We only use hosting providers who commit to a minimum service uptime of 99.9%, with exceptions for planned or emergency server maintenance or circumstances beyond their reasonable control.
- We’ll inform you about planned maintenance, provided the same is communicated to us by our service providers. If there is an unplanned outage and an estimated time of resolution is provided by our service provider, we will inform you.
- SoundSense is not liable in any way for failure of hosting and other third-party services, as these are beyond our control. An extension of subscription due to downtime is entirely at our discretion.
12. Service suspension
We may suspend your services for the following reasons:
- Your subscription has expired.
- For resolving technical problems or making any technical changes.
- For updating the product to reflect changes in laws and regulatory requirements.
- For making changes to the services as notified by you.
- When required by law.
- If we believe that you have violated any material term of this agreement.
- For resolving any third-party claims or actions.
- To avoid any financial loss or legal liability.
13. Billing, payments, cancellation, and refunds
- We accept payments by online or electronic payment methods only. Plans will be activated only after clear funds are credited to our bank account.
- To cancel your subscription, you must email a cancellation request to our customer support.
- If your plan subscription is discontinued by you or by us, a refund may be applicable. In such cases, the refund is calculated in accordance with our Cancellation, Refund, and Exit Policy, published separately on our website. The latest policy at the time of cancellation will apply.
- No refund will be made if your account is suspended or terminated due to abuse, legal reasons, or violation of our terms of service.
- After an account is canceled or terminated, it may take up to 10 working days to process a refund. Your bank may take more time to credit the funds to your bank or card account.
14. Late payment or non-payment
- If you fail to renew your subscription before it expires, our Services may be immediately terminated.
- We may give you a renewal grace period during which our Services may continue. The decision regarding whether to offer a renewal grace period and its length is completely at our discretion.
- The grace period is only intended to provide more time to renew your subscription without service disruption. It does not imply a waiver of the subscription charges for the grace period. When you renew, your new subscription period will start from the day after the last subscription has expired, irrespective of the grace period.
- If you do not renew or choose not to continue the subscription, the proportionate amount for any grace period during which services were active will be due to us. Any further services as per our exit policy, such as domain transfer or data export, will be subject to your settling the amount due to us.
- If your plan includes website setup, we will attempt to preserve the last backup of your website for one month after plan expiry. However, this is not a commitment on our part, and there is no guarantee that your website data can be restored after the plan and grace period expires.
15. Pricing and promotions
- SoundSense offers plans with a pricing structure designed to be competitive and transparent, and provide an affordable online presence for small businesses.
- We may provide discount coupons for the first year and for the first renewal, after which standard renewal pricing applies. Please be aware that these special offers and promotions are temporary and may be discontinued at any time.
- We may increase our prices at any time. If no discount codes or promotions are available, the standard rates published on our website at the time of purchase or renewal will apply.
- Special custom prices are provided to customers who have resource requirements that exceed our fair usage policies. These prices are not standard and depend on the resource requirements of the customer’s website. They will be assessed and communicated with on an individual basis if the need arises.
- Our plan prices are subject to periodic adjustments based on the prices of our service providers. Any increase in their pricing may compel us to raise the prices of our service plans to ensure cost coverage. Generally, price changes will affect you only in the next plan renewal or billing.
16. Taxes
The price mentioned on our website and all quotations are exclusive of taxes. Taxes at the applicable rates will be added to customer invoices.
17. Account termination
- Your SoundSense subscription and our Services can be terminated by us due to the following reasons:
- Cancellation request from you: If your subscription is active, and you place a cancellation request.
- Subscription expiration: If your subscription expires and you fail to renew in time.
- Violation of our Terms of Service : If you violate our terms of service, we may suspend or terminate your subscription and user account.
- Order from a court or a regulator: If we get a court order or an order or direction from a regulator or other government authority, we will terminate your subscription and your user account.
- Refusal to furnish updated documents: If you refuse to furnish a copy of your updated identity proof, address proof, or any other document mandatory for continuing your subscription.
- Potential fraud: if we have reason to believe that our services are being used for an illegal purpose, or there is a potential fraud risk.
- You raise a payment dispute or charge-back: If you raise a payment dispute or charge back, we will suspend your services until it is resolved. If there is no resolution within a month, your account will be terminated. No extension of subscription period or refund will be provided for the inability to use the services due to suspension as a result of a payment dispute, even if it is resolved in our favor.
- When your subscription is terminated, our “Cancellation, Refund, and Exit Policy” published separately on our website will apply.
18. Billing errors and payment issues
If you suspect that you have been charged incorrectly, or if you have paid more than your subscription fee, or if you have any other payment issue, please contact our customer support.
19. Account security and systems
- You are responsible for any misuse of your account; therefore, you must take steps to ensure that others do not gain unauthorized access to your account. In addition, you may not use your account to breach the security of another account or attempt to gain unauthorized access to another network or server.
- Your password provides access to your accounts, website control panel, and email. It is your responsibility to keep your passwords secure.
- Sharing your passwords and account access with unauthorized users is not recommended. You should take care to prevent others from using your account. Any consequences of unauthorised access or misuse due to password sharing will be your responsibility.
- Attempting to obtain passwords of other users is strictly prohibited and will result in termination of service.
- You may not attempt to circumvent user authentication or security of any host, network, or account. This includes, but is not limited to, accessing data not intended for you, logging into or making use of a server or account you are not expressly authorized to access, or probing the security of other networks. Using, publishing or distributing tools designed to compromise security is prohibited. Examples of these tools include, but are not limited to, password-guessing tools, cracking tools, and network-probing tools.
- You may not attempt to interfere with service to any user, host, or network (“denial of service attacks”). This includes, but is not limited to, “flooding” of networks, deliberate attempts to overload a service, and attempts to “crash” a host. Users who violate systems or network security may incur criminal or civil liability. SoundSense will cooperate fully with investigations of violations of systems or network security at other sites, including cooperating with our service providers and law enforcement authorities in the investigation of suspected criminal violations.
- Customers are ultimately responsible for all actions taken under their accounts. This includes the compromise of login credentials and passwords. You are required to use a secure password. If a weak password is used, your account may be suspended until you agree to use a more secure password. We may perform audits to detect and prevent the use of weak passwords. If an audit is performed, and your password is found to be weak, we will notify you and allow time for you to change or update your password before suspending your account.
- Our Services, including access to all related equipment, websites, email boxes, and networks, are provided only for authorized customer use. We may, but are not obligated to, monitor our systems, including, without limitation, to prevent unauthorized access and to facilitate protection against unauthorized access, and to verify security procedures, survivability, and operational security.
- During monitoring, information may be scanned, examined, recorded, copied, and used for authorized purposes. By using our Services, you consent to monitoring for these purposes.
- Any account found connecting to a third-party network or system without authorization from the third party is subject to suspension. Access to networks or systems outside of your direct control requires the express written consent of the third party. We may, at our discretion, request documentation to prove that your access to a third-party network or system is authorized.
- Any account that is found to be compromised may be disabled and/or terminated. If you do not resolve the problem after being notified by us regarding an ongoing issue, we reserve the right to keep your services disabled until the problem is resolved.
- We reserve the right to migrate your domain, website, email, and other services from one service provider to another. We will inform you in advance if this is likely to cause any disruption in the use of our Services.
20. Indemnification
- Customer agrees that they will protect, indemnify, save and hold SoundSense harmless from any and all stipulations, liabilities, losses, expenses and claims, as well as reasonable attorney’s fees assessed against SoundSense, its agents, customers, officers, employees and administration that may arise or result from any service provided or performed or agreed to be performed or any product sold by its customers, agents, employees or assigns.
- Customer agrees to defend, indemnify, and hold SoundSense harmless against liabilities arising out of:
- Any injury to a person or property caused by any activity done in association with or by using our Services.
- The loss of any electronic files or information furnished by you or your users.
- Copyright violation and any defective products or services sold to anyone using our Services.
- Any legal action initiated and any penalties imposed by regulators or government authorities as a result of any type of customer activity, or products or services sold or distributed in association with or using our Services.
21. Limitations to liability
- To the maximum extent permitted by applicable law, and without affecting your rights as a Consumer, you agree that you will not under any circumstances, including negligence, hold SoundSense, its officers, directors, employees, licensors, agents, subcontractors, and/or third party service providers liable for any direct or indirect damages of any nature and type.
- Customers may incur various types of damages resulting from events beyond our control, such as delays, malfunctions, technical faults, and service suspension. These damages may include, but are not limited to, loss of profits, cost savings, revenue, business, data, or use. Examples of such events include force majeure, third-party actions, faults in machines or software, and acts or omissions by customers contrary to the obligations outlined in these Terms of Service. Additionally, customers may experience data loss due to hardware or software failure, or encounter issues with information or content accessed through our services, receiving technical support, or using our Services.
- In no event, we will be liable to you in the aggregate with respect to any and all breaches, defaults, or claims of liability under these TOS or under any other agreement or document for an amount greater than the fees actually paid by you to us for the respective Service(s) during the twelve-month period preceding a claim giving rise to such liability. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. You agree that in those jurisdictions, our liability will be limited to the extent permitted by law, and your rights as a Consumer will not be affected.
22. Dispute resolution and jurisdiction
- Except as expressly given elsewhere in this Agreement, nothing in this Agreement is intended, nor shall anything in this Agreement be construed to grant any rights to any individual other than the Parties hereunder and their respective successors and approved assignments. Notwithstanding the above, the customer recognizes and accepts that every provider of a third-party goods or service described in the contract definition as a third-party beneficiary is the designated third-party beneficiary of the requirements set out in this Agreement because they apply exclusively to its goods or services and has the right to explicitly implement the terms and conditions.
- You agree that the Courts of Pune, Maharashtra (India) shall have the sole jurisdiction over all disputes and other matters relating to the execution, interpretation, enforcement, and termination of this Agreement or any other document entered into by the Parties related thereto. All disputes and other matters relating to the interpretation and enforcement of the TOS, as well as any other document entered into by the Parties, shall be governed by the laws of India.
23. Third-party beneficiaries
- In the event of any dispute, controversy, or claim arising out of or related to this Agreement, you and SoundSense shall use reasonable effort to settle such disputes or differences. To this effect, we shall consult and negotiate with each other with the aim of reaching a solution satisfactory to each Party.
- When you buy a third-party product or service from us, or when a third-party product or service is bundled with your subscription plan, you are bound by this TOS agreement and the terms and conditions of the third-party product or service provider.

24. Change of Terms of Service
- SoundSense may modify these Terms of Service at any time with immediate effect. Where the change in Terms is required by law or related to the addition of a new service, extra functionality to the existing Service(s), or any other change which neither reduces your rights nor increases your responsibilities, the TOS will be changed without prior notice to you and shall have immediate effect.
- No clarification or explanation of the Terms provided by the Parties will have the power to modify the provisions of these TOS.
- By signing up for our services, you agree to SoundSense’s Terms of Service, Privacy Policy, Acceptable Use Policy, Cancellation and Exit Policy, and all the regulations set out by SoundSense.
